These Terms and Conditions ("Terms") govern your use of the website, client portal, software, and services provided by Trade Experts Wealth Management ("we," "us," "our"). By accessing our website or using any of our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.

1. Definitions

• "Services" refers to all products and services offered by Trade Experts Wealth Management, including algorithmic trading software, API integration solutions, TradingView automation, website development, SEO, digital marketing, and related offerings.
• "Client" or "you" refers to any individual or entity that accesses our website, registers for an account, or uses our services.
• "Platform" refers to our website, client portal, trading software, and any associated tools or dashboards.

2. Eligibility

To use our services, you must:

• Be at least 18 years of age.
• Have the legal capacity to enter into a binding agreement.
• Comply with all applicable laws and regulations in your jurisdiction, including those related to financial services and securities trading.

3. Account Registration

• Certain services require you to create an account on our client portal. You are responsible for maintaining the confidentiality of your login credentials.
• You agree to provide accurate, current, and complete information during registration and to update this information promptly if it changes.
• You are solely responsible for all activity that occurs under your account. Please notify us immediately if you suspect unauthorized access.

4. Use of Services

By using our services, you agree to:

• Use the Platform and Services only for lawful purposes and in accordance with these Terms.
• Not attempt to reverse-engineer, decompile, or modify any software provided by Trade Experts Wealth Management.
• Not use our services to engage in market manipulation, fraud, or any activity that violates securities laws or exchange regulations.
• Not share, resell, sublicense, or redistribute our software, strategies, or proprietary tools without written permission.
• Provide accurate broker credentials and API access where required for service delivery, and assume full responsibility for the activities executed through your trading accounts.

5. Intellectual Property

• All content, software, algorithms, designs, code, and proprietary materials created by Trade Experts Wealth Management remain our exclusive intellectual property.
• You are granted a limited, non-exclusive, non-transferable license to use our software and tools strictly for the purposes outlined in your service agreement.
• Unauthorized copying, distribution, or modification of any proprietary material is strictly prohibited and may result in legal action.

6. Fees and Payment

• Service fees are outlined on our Pricing page and in individual service agreements. All prices are quoted in Indian Rupees (INR) unless otherwise stated.
• Subscription fees are charged in advance on a monthly or annual basis, depending on your chosen plan.
• Custom project fees are governed by individual project proposals and may require milestone-based payments.
• Late payments may result in service suspension or termination.
• All applicable taxes (GST and others) will be added to the fees as required by law.

7. Service Availability

• We strive to maintain high availability and uptime for our Platform and Services. However, we do not guarantee uninterrupted or error-free operation.
• Scheduled maintenance, system upgrades, and unforeseen technical issues may result in temporary service disruptions.
• We are not responsible for disruptions caused by third-party services, including broker platforms, API providers, or internet service providers.

8. Trading and Financial Risks

• Trade Experts Wealth Management provides technology tools and software solutions. We do not provide investment advice or act as a registered investment advisor.
• All trading decisions made using our software are your sole responsibility. Market risks, including the possibility of significant financial loss, are inherent in trading.
• Past performance of any strategy or algorithm does not guarantee future results.
• Please refer to our Disclaimer for additional risk disclosures.

9. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information exchanged during the course of the engagement. This includes, but is not limited to, trading strategies, account credentials, business processes, and client data. Confidentiality obligations survive the termination of the service agreement.

10. Limitation of Liability

• To the maximum extent permitted by law, Trade Experts Wealth Management shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of our services.
• Our total liability for any claim related to our services shall not exceed the total amount paid by you to Trade Experts Wealth Management in the twelve (12) months preceding the claim.
• We are not liable for losses resulting from market volatility, broker platform failures, API outages, or any other factors beyond our reasonable control.

11. Indemnification

You agree to indemnify and hold harmless Trade Experts Wealth Management, its directors, employees, and affiliates from any claims, damages, liabilities, costs, or expenses (including legal fees) arising from your use of our services, violation of these Terms, or infringement of any third-party rights.

12. Termination

• Either party may terminate a service engagement by providing written notice as specified in the applicable service agreement.
• We reserve the right to suspend or terminate your access to our services immediately if you violate these Terms or engage in conduct that we believe is harmful to our business, other clients, or the Platform.
• Upon termination, your right to use our software and access the client portal will cease. Any outstanding fees remain payable.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising from or related to these Terms or our services shall be subject to the exclusive jurisdiction of the courts in Thane, Maharashtra.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised date. Your continued use of our services after changes are posted constitutes acceptance of the updated Terms. We encourage you to review this page periodically.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, Disclaimer, and Refund Policy, constitute the entire agreement between you and Trade Experts Wealth Management regarding the use of our services.
